8.1 Platform Ownership

The Platform, including its software, design, features, interfaces, documentation, and all underlying technology, is owned by or licensed to Aisembl Pty Ltd and is protected by Australian and international Intellectual Property Rights. Nothing in these Terms grants you any right, title, or interest in the Platform except the limited licence to use it as set out herein.

Aisembl Pty Ltd is not responsible for the availability, accuracy, or content of third-party services, and does not endorse them.

We may use third-party service providers (including cloud infrastructure, payment processors, and communication tools) to operate the Platform. These providers are subject to confidentiality obligations and are only permitted to use your data as necessary to provide services to us.

10. Disclaimers and Warranties

10.1 MVP Disclaimer

The Platform is offered as a Minimum Viable Product (MVP) and is provided on an "as is" and "as available" basis. Features may be added, modified, or removed during the MVP phase. We do not warrant that the Platform will be error-free, uninterrupted, or free of bugs or vulnerabilities.

10.2 No Warranty

To the maximum extent permitted by law, Aisembl Pty Ltd excludes all express or implied warranties, representations, or conditions not expressly stated in these Terms, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

10.3 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law or any other legislation that cannot be lawfully excluded or limited. Where we are permitted to limit our liability, we limit it to the re-supply of the relevant services or the cost of having those services re-supplied, at our election.

10.4 Pilot release and data preservation

The Platform is currently being offered as a pilot / beta release to a small group of users. You acknowledge that during this pilot period:

  • Features may change. Functionality may be added, modified, removed, or temporarily unavailable without notice while we iterate on the product.
  • Service interruptions may occur. We do not warrant any particular level of uptime, performance, or response time. Scheduled and unscheduled outages are expected.
  • Your Content may not be preserved. While we will use reasonable endeavours to retain Content you enter, we make no guarantee that Content will be migrated, retained, or recoverable in the event of a platform change, schema migration, data reset, or recovery scenario. You are responsible for retaining your own copies of any Content you consider important.
  • Support is best-effort. Support is provided on a reasonable-endeavours basis for pilot users; response times are not guaranteed.

This clause does not limit any rights you have under the Australian Consumer Law (see §10.3).

11. Limitation of Liability

To the maximum extent permitted by applicable law, Aisembl Pty Ltd and its directors, officers, employees, agents, and partners shall not be liable for any:

  • indirect, incidental, special, consequential, or punitive damages;
  • loss of profits, revenue, data, goodwill, or business opportunities;
  • loss or corruption of Content;
  • costs of procurement of substitute services; or
  • any damages arising from unauthorised access to or alteration of your transmissions or Content,

even if Aisembl Pty Ltd has been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising under or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of:

  • the amounts paid by you to us in the 12 months immediately preceding the event giving rise to the claim; or
  • AUD $100.

These limitations apply whether or not Aisembl Pty Ltd has been advised of the possibility of such liability and notwithstanding any failure of essential purpose of any limited remedy.

12. Indemnification

You agree to indemnify, defend, and hold harmless Aisembl Pty Ltd and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • your use of or access to the Platform;

  • your violation of any applicable law or the rights of any third party; or
  • your use of the Platform in a manner not expressly authorised by these Terms.

13.1 Term

These Terms commence on the date you first access or use the Platform and continue until your Account is terminated.

13.2 Termination by You

You may terminate your Account at any time by following the Account deletion process within the Platform settings or by contacting us at legal@aisembl.com. Termination does not entitle you to a refund of prepaid fees except as required by law.

13.3 Termination by Us

We may suspend or terminate your Account and access to the Platform immediately, without prior notice, if:

  • you breach these Terms in a material way;
  • we are required to do so by law or a government authority;
  • your Account is inactive for an extended period (we will attempt to notify you before doing so); or
  • we discontinue the Platform or a relevant feature.

13.4 Effect of Termination

Upon termination, your right to access and use the Platform ceases immediately. We will handle your data following termination in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 7, 8, 11, 12, and 15.

14. Organisations and Business Users

Where you create or administer an Organisation on the Platform, you are responsible for:

  • managing access rights and permissions for all members of your Organisation;
  • ensuring all members of your Organisation comply with these Terms;
  • any Content uploaded or actions taken by members of your Organisation; and
  • maintaining appropriate data handling practices within your Organisation.

Aisembl Pty Ltd reserves the right to limit the number of members or storage capacity within an Organisation, subject to your Subscription plan.

Business Users acknowledge that their use of the Platform may be subject to additional enterprise or custom agreements negotiated separately with Aisembl Pty Ltd.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of Western Australia, Australia, without regard to conflict of law principles. You submit to the non-exclusive jurisdiction of the courts of Western Australia and the Federal Court of Australia.

15.2 Dispute Resolution

Before commencing any legal proceedings, you agree to contact us at legal@aisembl.com to attempt to resolve any dispute informally. We will endeavour to respond within 14 business days.

If a dispute is not resolved informally within 30 days, either party may refer the matter to the relevant court or tribunal. For Consumer Users, nothing in this clause prevents you from accessing relevant consumer protection bodies, including the Australian Competition and Consumer Commission (ACCC) or relevant state fair trading offices.

15.3 Class Action Waiver

To the maximum extent permitted by law, disputes arising under these Terms shall be resolved on an individual basis only. You waive any right to bring or participate in any class action, collective, or representative proceeding.

16. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any additional terms specific to particular features or services, constitute the entire agreement between you and Aisembl Pty Ltd regarding the Platform.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.

Waiver. No waiver by either party of any breach of these Terms shall constitute a waiver of any subsequent breach. Failure to enforce any right under these Terms does not constitute a waiver of that right.

Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, or sale of assets.

Force Majeure. Aisembl Pty Ltd is not liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disasters, cyberattacks, or government actions.
